Article III
: Governance
SECTION A- Representative Assembly
The Council shall be governed by a Representative Assembly consisting
of one delegate from each member institution. A delegate shall
be
a ful time faculty member engaged in the work of career and technical
education and human resource development who has been designated
by the member institution.
SECTION B - Board of Trustees
The Board of Trustees shall consist of the three officers along
with three other delegates elected each year at the annual meeting
of the Representative Assembly to serve for terms of three years.
Terms shall be staggered so that one new trustee is elected each
year after the first year of Council operation.
SECTION C - Criteria for Membership
on the Board of Trustees
Board of Trustee members shall be full-time members who have been
designated as delegate(s) of member institution(s). In the event
that a trustee ceases to be a delegate of the member institutions,
that office will be vacated and a new trustee will be elected by
the Representative Assembly to complete the unexpired term. (While
an institution may send a substitute delegate to the Council meetings,
the substitute may not serve as a member of the Board of Trustees.)
SECTION D - Officers
The officers shall consist of President, Vice President and /or
President Elect and Secretary-Treasurer. The Vice President shall
be elected annually. When the President, who shall serve a two-year
term, begins the second year of office, the person elected Vice
President is designated as President Elect. The Secretary-Treasurer
shall be elected for a two-year term. The officers shall comprise
the Executive Committee.
SECTION E - Editorial Committee
The Editorial Committee shall consist of an editor and two associate
editors elected by the membership of the Council. All three positions
shall be elected the first year (one three-year term [Associate
Editor], one two-year term [Associate Editor], and one year term
[Editor]). Thereafter, one Associate Editor shall be elected each
year. Election of a replacement (new) Associate Editor shall take
place at the annual meeting of the Council.
SECTION F - Parliamentarian
A Parliamentarian will be appointed by the President and confirmed
by a vote of two-thirds of the delegates at the Representative Assembly
and may be appointed on a year-to-year basis with no limit in the
time he/she serves.
SECTION G - Duties of the Representative
Assembly
The Representative Assembly shall elect the officers and other Board
of Trustees members.
The Representative Assembly shall approve the policies and guidelines
for the Council including the annual program of activities.
The Representative Assembly shall meet at least annually or at the
call of the Board of Trustees of the Council. There shall be one
annual Representative Assembly meeting. Special Representative Assembly
meetings may be called by the Board of Trustees of the Council or
by petition of 33 percent of the Council membership.
SECTION H - Duties of the Board
of Trustees
The Board of Trustees shall be authorized to conduct necessary business
of the Council following the Constitution and Bylaws and other guidelines
developed at meetings of the Council.
SECTION I - Duties of the Officers
President. It shall be the duty of the President to
preside at all meetings of the Council, the Board of Trustees, and
the Executive Committee. The President shall appoint all committees,
except the Executive Committee, and may serve as an ex-officio member
of those committees.
Vice President and/or President Elect. It shall be
the duty of the Vice President and/or President Elect to preside
at all meetings in the absence of the President and to assist the
President at all times in performing the duties of that office.
He/she shall be responsible for planning and conducting professional
day programs in conjunction with the annual meeting and other meetings
of the Council.
Secretary-Treasurer. It shall be the duty of the Secretary-Treasurer
to keep and distribute the minutes of the meeting of the Council,
its Board of Trustees and its Executive Committee. The Secretary-Treasurer
will keep a roster of the persons attending meetings, will be responsible
for the correspondence of the Council and will fulfill such other
duties as disbursing all funds authorized by the Council and maintaining
complete and accurate records of all transactions. The Secretary-Treasurer
will present an annual financial report.
SECTION J - Duties of the Executive
Committee
The Executive Committee shall consist of the President, the Vice
President and/or President Elect, and the Secretary-Treasurer. The
Executive Committee shall conduct such business as may be authorized
by the Board of Trustees and/or specified in the Constitution and
Bylaws.
SECTION K - Duties of the Editorial
Committee
The Editorial Committee shall be responsible for recommending and
implementing guidelines for the preparation, production and distribution
of all publications released under Council sponsorship. Duties shall
include: recommending publication priorities, identifying authors,
reviewing and editing drafts, recommending and obtaining approval
(from University Council members) for publications, arranging for
reproduction and distribution of publications, getting Council publications
into the ERIC system and fisted in professional journals, and dentifying
recipients of complimentary copies of Council publications.
SECTION L - Duties of Parliamentarian
The Parliamentarian will act as advisor to the President on all
matters of procedure and will interpret the application of parliamentary
rules of order to situations which arise in the course of formal
Council meetings.
SECTION M - Committees
The President of the Council shall appoint annually the following
standing committees: The Nominating Committee and the Auditing Committee.
Other special committees may be appointed as needed. The Nominating
Committee shall place in nomination, at the annual Representative
Assembly meeting, candidates for Board of Trustees members and for
various Council offices.
The Auditing Committee shall examine the books of the Treasurer
and report the findings at the annual Representative Assembly meeting.
